These Terms of Use (“Terms”) form a legally binding agreement between you and Croncode. By downloading, accessing, or using the Service, creating an account, or tapping “Agree”, you accept these Terms and our Privacy Policy. If you do not agree, do not use the Service.
If you obtained the app from the Apple App Store, you also acknowledge that Apple’s Licensed Application End User License Agreement (or Apple’s Standard EULA) and App Store terms may apply in addition to these Terms. In case of conflict regarding Apple platform rules, Apple’s terms control as between you and Apple; these Terms control as between you and Croncode for the Service we provide.
1. What Heyya is (AI entertainment — not real people)
Heyya is an adult entertainment application that offers interactions with fictional AI characters / companions. Features may include text chat, realtime voice calls, discovery/swipe experiences, relationship-style progression, virtual currency, subscriptions, and AI photo features.
Critical disclosures:
- Characters are artificial intelligence, not real humans, and do not represent real individuals.
- Outputs (text, voice, images) are machine-generated fiction and may be inaccurate, inappropriate, inconsistent, or unexpected.
- The Service does not provide medical, mental-health, legal, financial, or other professional advice. Do not use it for emergencies.
- AI image features may process photos you upload or capture and return AI-generated or AI-transformed images (including couple/composite style outputs) using providers such as Google Gemini. Chat/voice features may use providers such as OpenAI.
2. Eligibility (18+ only)
- You must be at least 18 years old to download or use Heyya.
- You must have legal capacity to enter a binding contract.
- You must comply with all applicable laws and Apple App Store rules.
- If we learn you are under 18, we may delete your account and related data without notice.
3. Accounts and security
You may need an account (including Sign in with Apple or other methods we offer). You agree to:
- provide accurate information required for age gating and account operation;
- keep credentials/devices secure;
- not share your account;
- promptly notify us of unauthorized access at [email protected].
You are responsible for activity under your account. We may suspend or terminate accounts for suspected fraud, abuse, underage use, or legal risk.
4. License to use the Service
Subject to these Terms, Croncode grants you a personal, limited, non-exclusive, non-transferable, revocable license to download and use the Heyya app on Apple-branded devices you own or control, solely for personal, non-commercial entertainment, as permitted by the App Store Rules and these Terms.
You may not:
- copy, modify, distribute, sell, lease, reverse engineer, decompile, or create derivative works of the app (except to the extent non-waivable law allows);
- bypass, disable, or interfere with security, paywalls, rate limits, or usage caps;
- scrape, bulk-download, or automate access to characters, media, or APIs without written permission;
- use the Service to build a competing AI dataset or model by systematically extracting outputs;
- misrepresent AI content as created by a real human or as official advice.
5. User content (UGC) and license you grant us
“User Content” means any content you submit, upload, capture, transmit, or otherwise provide through the Service, including text prompts/messages, profile information, photos/images, audio you provide during voice features, feedback, and reports.
You retain ownership of your User Content (to the extent you own it). You grant Croncode a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, process, adapt, modify, transmit, display, and otherwise use User Content solely to operate, secure, moderate, and improve the Service, including:
- sending prompts, context, and images to AI processors (including Google Gemini for image processing/generation and OpenAI for chat/voice-related processing) so we can return AI outputs to you;
- caching and delivering generated media within the Service;
- abuse detection, safety review, and legal compliance.
You represent and warrant that:
- you own or have all rights/permissions needed to submit User Content and to grant the license above;
- User Content does not violate law or third-party rights (privacy, publicity, intellectual property);
- you will not upload non-consensual intimate imagery, deepfake sexual content of real people without authorization, or any content involving minors;
- if User Content depicts other adults, you have their consent where required.
We may remove or restrict User Content at our discretion for safety, legal, or policy reasons.
6. AI features — image processing, chat, and voice
6.1 AI image features (including Google Gemini)
When you use features that generate or transform images (for example requesting a character photo, a custom “take/create this photo” style request, or a couple/selfie composite), you instruct us to process your inputs with AI systems. This may include transmitting your image(s) and prompt to Google Gemini (and/or successor image models) and returning an AI-generated or AI-processed image output to you.
You understand that:
- outputs are synthetic/AI-generated and may not be unique;
- outputs may resemble styles or faces unpredictably;
- you must not attempt to create illegal or exploitative imagery;
- we may refuse or block requests that violate these Terms or safety policies.
6.2 AI chat and voice (including OpenAI)
Text chat and realtime voice calls may be powered by AI providers such as OpenAI. Voice features require microphone access and stream audio for conversation while the call is active. Do not use voice/chat features to solicit real-world harm, commit crimes, or share others’ sensitive data without authorization.
6.3 No professional advice; no emergency service
AI characters can roleplay. They are not therapists, doctors, lawyers, or crisis responders. If you are in danger or experiencing a crisis, contact local emergency services or appropriate hotlines. Do not rely on the Service for medical, mental-health, legal, or financial decisions.
7. Acceptable use and prohibited conduct
You agree not to use the Service to:
- violate any law or third-party right;
- create, upload, request, or share child sexual abuse material or any sexual content involving anyone 17 or under (zero tolerance — accounts will be banned and may be reported);
- upload non-consensual intimate images or sexual deepfakes of real people;
- harass, threaten, stalk, extort, or exploit others;
- promote violent extremism, terrorism, or severe harm;
- attempt to obtain real contact information for illegal purposes or to engage in real-world sexual exploitation;
- distribute malware, phishing, or spam;
- interfere with or disrupt servers, networks, or AI providers;
- circumvent spending limits, ads, subscriptions, or entitlement checks;
- impersonate Croncode, Apple, or another person/entity;
- use the Service if you are under 18.
We may investigate violations and take any action we deem appropriate, including content removal, feature limits, suspension, termination, and cooperation with law enforcement.
8. Reporting objectionable content / UGC safety
Heyya provides mechanisms to report objectionable content or behavior (in-app report tools where available, and/or email to [email protected]). We aim to review actionable reports and take appropriate action within a reasonable time. Users who repeatedly post/request prohibited content may lose access.
For urgent illegal content involving minors, contact local authorities and notify us immediately.
9. Virtual currency (Gems), VIP, and In-App Purchases
- Gems (or similar virtual items) are licensed digital goods usable only inside Heyya. They have no cash value, are non-transferable, and are not redeemable for money except where mandatory law requires otherwise.
- VIP / subscriptions (if offered) provide benefits described in the Store at the time of purchase.
- Prices are displayed by Apple; payment is charged to your Apple ID. Billing, renewals, cancellations, and refunds for App Store purchases are handled by Apple under Apple’s terms and policies.
- Manage or cancel auto-renewable subscriptions in your Apple ID subscription settings at least 24 hours before renewal (or as Apple requires).
- Except where required by law or Apple’s refund policies, purchases are final and non-refundable by Croncode.
- We may change prices, item catalogs, or benefits prospectively. We may modify or discontinue features with reasonable notice where practicable.
- If your account is terminated for serious violations, unused gems/benefits may be forfeited to the extent permitted by law.
Apple refunds: To request a refund for an App Store purchase, use Apple’s reportaproblem.apple.com (or Apple Support). Croncode cannot directly process Apple payment refunds.
10. Advertising
The Service may show advertisements, including rewarded ads (for example via Google AdMob). Ads may use device identifiers subject to your ATT/consent choices and iOS settings. We are not responsible for third-party advertisers’ products or privacy practices.
11. Intellectual property
The Service—including software, UI, logos, trademarks, character cards we supply, audiovisual assets we own, and documentation—is owned by Croncode or its licensors and protected by intellectual property laws. These Terms do not transfer ownership to you.
AI outputs may not be protectable IP in all jurisdictions. Subject to applicable law and third-party rights, and provided you comply with these Terms, Croncode grants you a personal license to use AI outputs generated for you inside the Service for personal, non-commercial entertainment. You may not use outputs to violate others’ rights or to claim a real person created them.
12. Feedback
If you send ideas, suggestions, or feedback, you grant Croncode a perpetual, irrevocable, worldwide, royalty-free license to use that feedback without restriction or compensation.
13. Third-party services
The Service depends on third parties, including Apple, cloud/hosting providers (such as Supabase), AI providers (Google Gemini, OpenAI), and advertising partners. Their availability, policies, and performance are outside our full control. Your use of third-party services may be subject to their terms and privacy policies.
14. Privacy
Our collection and use of personal information is described in the Privacy Policy. By using the Service, you consent to such processing as described there and as required to deliver AI features you request (including transmitting User Content to AI processors).
15. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that:
- the Service will be uninterrupted, secure, or error-free;
- AI outputs will be accurate, appropriate, unique, or available on demand;
- defects will be corrected; or
- the Service will meet your expectations for companionship, romance, or emotional outcomes.
Some jurisdictions do not allow certain warranty disclaimers; in those places, disclaimers apply to the fullest extent permitted.
16. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CRONCODE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO CRONCODE FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR (B) USD $50, EXCEPT WHERE LIABILITY CANNOT BE LIMITED (FOR EXAMPLE, LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE WHERE SUCH LIMITATION IS PROHIBITED).
17. Indemnification
To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Croncode and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your User Content; (b) your misuse of the Service or AI outputs; (c) your violation of these Terms or law; or (d) your infringement of third-party rights.
18. Suspension and termination
You may stop using the Service at any time and may delete your account where the app provides that control. We may suspend or terminate access immediately if you violate these Terms, create risk/harm, fail age requirements, or if we discontinue the Service.
Upon termination, the license granted to you ends. Sections that by their nature should survive (including IP, disclaimers, liability limits, indemnity, dispute terms) survive termination.
19. Changes to the Service or Terms
We may update the Service and these Terms from time to time. We will post updated Terms with a new “Last updated” date at https://croncode.com/terms and may provide in-app notice for material changes. Continued use after the effective date means you accept the updated Terms, except where additional consent is required by law.
20. Export and sanctions compliance
You may not use or export the Service in violation of U.S. export control or sanctions laws. You represent that you are not located in a prohibited jurisdiction and are not a prohibited party under applicable sanctions lists.
21. Governing law and disputes
These Terms are governed by the laws of the State of New Mexico, USA, excluding conflict-of-law rules, without prejudice to mandatory consumer protections in your country of residence that cannot be waived by contract.
Except where prohibited, you and Croncode agree to attempt to resolve disputes informally by contacting [email protected] before filing a claim. Courts located in New Mexico shall have exclusive jurisdiction over disputes arising from these Terms, except that either party may seek injunctive relief in any jurisdiction for IP or unauthorized access harms, and consumers may have non-waivable rights to bring claims in their home courts.
Arbitration / class action note: If we later introduce a binding arbitration or class-action waiver, we will update these Terms and provide required notice/opt-out instructions. Until then, disputes are handled as stated above.
22. Apple-specific terms (App Store)
You acknowledge and agree that:
- these Terms are between you and Croncode, not Apple;
- Apple is not responsible for the Service or its content;
- Apple has no obligation to furnish maintenance or support for the Service;
- in the event of any failure of the Service to conform to an applicable warranty (if any cannot be disclaimed), you may notify Apple and Apple may refund the purchase price of the app license (if any); to the maximum extent permitted by law, Apple has no other warranty obligation;
- Apple is not responsible for addressing claims relating to the Service (including product liability, legal/regulatory claims, Consumer Protection claims, or IP infringement claims);
- Apple and Apple’s subsidiaries are third-party beneficiaries of these Terms and may enforce them against you;
- you represent you are not in a U.S.-embargoed country and not a prohibited party.
23. Miscellaneous
- Entire agreement: These Terms and the Privacy Policy are the entire agreement between you and Croncode regarding the Service.
- Severability: If a provision is unenforceable, the remainder remains in effect.
- No waiver: Failure to enforce a provision is not a waiver.
- Assignment: You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
- Force majeure: We are not liable for delays/failures caused by events beyond reasonable control (including outages of AI providers, Apple, or cloud hosts).
- Language: The English version controls if translations conflict, except where local law requires otherwise.
